Terms of Service

1. Acceptance

These Terms govern your use of Mercury Cloud, including the dashboard, APIs, model gateway, billing features, terminal pairing, and cloud memory services. By using Mercury Cloud, you agree to these Terms.

2. Plans

Mercury Cloud offers Free, Pro, and Extended plans. Current public pricing is listed on the Pricing page. The open-source Mercury Agent CLI remains governed by its open-source license and is separate from the paid cloud service.

3. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for activity under your account. You must provide accurate account and billing information and promptly update it if it changes.

4. Billing and Paddle

Paid subscriptions are billed monthly in USD through Paddle. Paddle may calculate and collect applicable taxes and may process payment method details, invoices, billing address, and fraud-prevention signals. You authorize us and Paddle to charge your selected payment method for recurring subscription fees until you cancel.

5. Model gateway and usage limits

Mercury Cloud may route model requests through managed providers. We may enforce request, token, model, and abuse-prevention limits by plan. We may suspend or throttle usage that violates these Terms, exceeds configured limits, or risks service stability.

6. Acceptable use

You may not use Mercury Cloud to violate laws, infringe third-party rights, distribute malware, attempt unauthorized access, overload infrastructure, bypass billing or limits, or resell the managed service without written permission.

7. Your content

You retain ownership of code, prompts, memory entries, and other content you submit. You grant us the limited rights needed to operate Mercury Cloud, route requests, sync memory, provide support, and maintain the service. We do not train models on your data.

8. Cancellation and refunds

You may cancel anytime. Cancellation stops future renewals and paid access continues through the current paid billing period. Refund eligibility is described in the Refund Policy; cancellation mechanics are described in the Cancellation Policy.

9. Disclaimers and liability

Mercury Cloud is provided on a commercially reasonable basis. To the maximum extent permitted by law, we disclaim implied warranties and are not liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability is limited to the amount you paid for Mercury Cloud in the 12 months before the claim.

10. Changes

We may update these Terms from time to time. Material changes will be reflected by updating the date above. Pricing changes are prospective and do not change a billing period that has already started.
